Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the VORA website and the purchase of website design, development and related digital services from VORA ("VORA", "we", "us" or "our").

By using the VORA website or engaging VORA for services, you agree to these Terms to the extent permitted by law.


1. About VORA

VORA is a digital studio providing website design, development, branding, digital experiences and related services.

Our services may include:

  • Website design
  • Website development
  • UI/UX design
  • Branding and visual systems
  • Website deployment
  • E-commerce development
  • Esports organisation websites
  • Creator and community websites
  • Custom dashboards
  • Custom APIs and integrations
  • Discord integrations
  • Tournament and membership systems
  • Other custom digital services

The exact services provided will depend on the package or project agreed with you.


2. Website Packages

VORA may offer predefined service packages including:

STARTER — $29.99 AUD

Includes:

  • Up to 5 pages
  • Basic branding
  • SEO setup
  • Deployment

PRO — $69.99 AUD

Includes:

  • Up to 10 pages
  • Team and player pages
  • News
  • Events
  • Media
  • Analytics
  • Advanced animations
  • 3 revisions

BUSINESS — $109.99 AUD

Includes:

  • Up to 20 pages
  • E-commerce
  • Rosters
  • Tournament systems
  • Memberships
  • Dashboard
  • Discord integration
  • 5 revisions

CUSTOM — FROM $189.99 AUD

May include:

  • Bespoke backend systems
  • Custom APIs
  • Custom dashboards
  • Community systems
  • Databases
  • Bespoke functionality

Package inclusions may vary depending on the specific project agreement.

Custom work may require a separate written quotation.


3. Project Scope

Before development begins, VORA may confirm the project scope with you.

This may include:

  • Services being provided
  • Pages or features
  • Design direction
  • Project price
  • Payment requirements
  • Revision allowance
  • Estimated timeline
  • Hosting/deployment arrangements
  • Third-party services
  • Client responsibilities

Where a custom project is agreed, the written project proposal, quotation or agreement may take priority over general package descriptions.


4. Payment

Unless otherwise agreed in writing, payment requirements will be communicated before work begins.

VORA may require payment in full, a deposit, or staged payments depending on the project.

Work may begin once the applicable payment requirement has been satisfied.

For larger or custom projects, VORA may divide payments into milestones.

If a payment is overdue, VORA may temporarily pause work until the outstanding amount is resolved.


5. Revisions

Where a package includes revisions, revisions refer to reasonable changes to the agreed project scope.

A revision does not normally include:

  • Completely changing the original concept
  • Rebuilding completed sections
  • Adding entirely new features
  • Adding pages beyond the agreed scope
  • Changing the project direction after approval
  • Replacing supplied content after approval

Additional work may be quoted separately.

VORA will communicate with the client if a requested change falls outside the included scope.


6. Client Responsibilities

To complete a project, you may need to provide:

  • Logos
  • Brand assets
  • Images
  • Videos
  • Written content
  • Product information
  • Account access
  • Domain information
  • Hosting information
  • Social media links
  • Other information reasonably required for the project

You are responsible for ensuring that material you provide to VORA is accurate and that you have the necessary rights or permissions to use it.

Delays in supplying required information or approvals may affect the project timeline.


7. Third-Party Services

Some projects may use third-party services, including:

  • Hosting providers
  • Domain registrars
  • Payment providers
  • Analytics platforms
  • Email providers
  • Content management systems
  • APIs
  • Discord
  • E-commerce services
  • Other software platforms

Third-party services may have their own terms, privacy policies, fees, limitations and availability.

VORA is not responsible for changes, outages, restrictions or failures caused solely by third-party services.

Where a third-party service requires a separate subscription or payment, that cost may be the client's responsibility unless otherwise agreed.


8. Domains and Hosting

Unless specifically included in the project, domain registration and ongoing hosting costs are not automatically included in VORA's service price.

Where VORA assists with deployment, the client remains responsible for maintaining ownership of their domain and relevant third-party accounts unless otherwise agreed.

VORA may assist with configuration but does not automatically become the owner of a client's domain, hosting account or third-party service.


9. Intellectual Property

Unless otherwise agreed in writing, original website design and development work created specifically for the client will be supplied for the client's use once the agreed project has been completed and applicable payments have been received.

Third-party assets, software, libraries, fonts, templates, plugins, APIs and other components remain subject to their respective licences.

VORA retains ownership of its pre-existing tools, systems, reusable components, development techniques and general know-how unless expressly transferred in writing.


10. Client Content

You retain responsibility for content, images, logos, trademarks, videos, text and other materials that you provide.

You grant VORA permission to use those materials for the purpose of completing the project.

You represent that you have the necessary rights to provide those materials to VORA.


11. Portfolio Use

Unless otherwise agreed in writing, VORA may display completed work in its portfolio, website, social media or promotional material.

VORA may identify the client or project where appropriate.

If a project is confidential, the client should notify VORA before or during the project so appropriate arrangements can be made.


12. Project Delays

Estimated project timelines are estimates unless a specific deadline has been agreed in writing.

Projects may be delayed by:

  • Late client feedback
  • Missing content
  • Changes to project scope
  • Third-party services
  • Hosting issues
  • Domain issues
  • Technical problems outside VORA's reasonable control
  • Force majeure events

VORA will make reasonable efforts to communicate significant delays.


13. Cancellation

Either party may request cancellation of a project.

The financial consequences of cancellation will depend on the stage of the project, payments already made, work completed and applicable law.

Where work has already been performed, VORA may be entitled to payment for services properly provided before cancellation, subject to any rights the client has under applicable law.

Any refund or cancellation arrangements will be handled in accordance with the applicable agreement and Australian Consumer Law.


14. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under Australian law.

Where Australian Consumer Law applies, consumers may have rights and guarantees relating to services, including guarantees concerning due care and skill, fitness for purpose and reasonable time where no timeframe has been agreed.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law.

For major failures with the service, you may have rights including:

  • cancelling the service contract; and
  • receiving a refund for the unused portion or compensation for its reduced value.

You may also be entitled to compensation for other reasonably foreseeable loss or damage.

These rights operate independently of any additional policies VORA may provide.


15. Website Availability

VORA aims to provide reliable services but does not guarantee that:

  • The VORA website will always be available
  • Third-party services will always be available
  • Websites hosted by third parties will always remain online
  • External APIs will always operate
  • Internet services will never experience interruptions

16. Security

VORA will take reasonable steps appropriate to the project to develop and maintain websites securely.

However, no internet-connected system can be guaranteed to be completely secure.

Clients remain responsible for maintaining secure passwords, account access and third-party credentials under their control.


17. Prohibited Use

You must not use a website or service supplied by VORA for unlawful activities or activities that infringe the rights of others.

This includes knowingly using VORA services to:

  • Distribute malicious software
  • Conduct fraud
  • Infringe copyright or intellectual property rights
  • Facilitate unlawful activity
  • Misrepresent another person or organisation
  • Attempt unauthorised access to systems
  • Distribute unlawful content

VORA may suspend or refuse work where there are reasonable grounds to believe the service is being used unlawfully, subject to applicable law.


18. Limitation of Liability

To the maximum extent permitted by law, VORA will not be responsible for losses caused solely by circumstances outside VORA's reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded.

Nothing in these Terms limits rights or remedies available under the Australian Consumer Law where those rights cannot legally be limited.


19. Changes to These Terms

VORA may update these Terms from time to time.

The latest version will be published on the VORA website.

Changes will generally apply to future use of the website and future projects unless otherwise required by law or agreed with an existing client.


20. Governing Law

These Terms are governed by the laws applicable in Victoria, Australia.

Any applicable dispute will be subject to the relevant courts and tribunals of Victoria, Australia, subject to applicable law.
